1. Scope of Services

Prosper Manufacturing provides professional apparel production (screen printing, DTG, embroidery), warehousing, fulfillment, and cross-border logistics services. By placing an order or using our facilities, you agree to these terms.

2. Production & Quality

Spoilage: A standard 2% spoilage rate is acceptable in manufacturing. Prosper is not liable for replacement costs within this margin.
Art Approval: Production begins only after digital mock approval. Prosper is not responsible for errors in approved art.
Garment Variance: Due to the nature of textile production, slight color or sizing variances may occur between batches.

3. Shipping & Logistics

Prosper operates as a cross-border entity (U.S. ↔ Mexico).

IncoTerms: All shipments are EXW (Ex Works) our Tijuana facility unless otherwise specified in the quote.
Customs: While we manage the workflow, clients are responsible for providing correct product classifications (HS codes) if requested.
Transit Risk: Risk of loss transfers to the carrier once goods leave our loading dock.

4. Payment Terms

Standard terms are 50% deposit / 50% prior to dispatch for new clients. Established enterprise clients may apply for Net 30 terms. Late payments are subject to a 1.5% monthly service charge.

5. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Diego County, California.

6. Termination

Prosper Manufacturing reserves the right to refuse service to brands whose content or operations conflict with our safety or ethical standards.
