1. Scope of Services

Prosper Manufacturing provides professional apparel production (screen printing, cut-and-sew, blank sourcing, kitting), fulfillment, and cross-border logistics services. By placing an order or using our services, you agree to these terms.

2. Production & Quality

Spoilage: Some spoilage is normal in manufacturing. Allowable spoilage is as set out in your quote or agreement, and Prosper is not liable for replacement costs within that allowance.
Art Approval: Production begins only after digital mock approval. Prosper is not responsible for errors in approved art.
Garment Variance: Due to the nature of textile production, slight color or sizing variances may occur between batches.

3. Shipping & Logistics

Prosper operates as a cross-border entity (U.S. ↔ Mexico).

IncoTerms: All shipments are EXW (Ex Works) our Tijuana facility unless otherwise specified in the quote.
Customs: While we manage the workflow, clients are responsible for providing correct product classifications (HS codes) if requested.
Transit Risk: Risk of loss transfers to the carrier once goods leave our loading dock.

4. Payment Terms

Deposits, payment timing, and any charges for late payment are as set out in your quote or agreement.

5. Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of San Diego County, California.

6. Termination

Prosper Manufacturing reserves the right to refuse service to brands whose content or operations conflict with our safety or ethical standards.
